Shareholders and General Meetings

Shareholders exert control over the company by voting on key resolutions at general meetings. The Companies Act dictates how and when these meetings must be conducted.

Important meeting requirements:

  • Annual General Meeting (AGM): Must be held every calendar year to present financial statements, declare dividends, and appoint auditors.
  • Extraordinary General Meeting (EGM): Called for urgent matters that cannot wait until the next AGM.
  • Notice periods: Strict statutory notices must be sent to all shareholders before meetings can take place.
  • Resolutions: Passing Ordinary Resolutions (simple majority) or Special Resolutions (75% majority) depending on the nature of the decision.
