Running a company in Singapore comes with a non-negotiable annual ritual: filing your Annual Return (AR) with the Accounting and Corporate Regulatory Authority (ACRA). Whether your business is thriving, dormant, or somewhere in between, this filing isn't optional , and missing it can cost you far more than just a late fee. Here's everything you need to know to stay compliant in 2026.

What Is an ACRA Annual Return?

An Annual Return is an online filing submitted through Bizfile that gives ACRA an up-to-date snapshot of your company. It typically includes:

  • Company name and Unique Entity Number (UEN)
  • Company type, business activities, and registered office address
  • Details of directors, the company secretary, and members
  • Share capital and shareholder information
  • Financial statements (where applicable)

This information helps investors, partners, and other stakeholders make informed decisions about your business, and it keeps Singapore's public company register accurate.

Who Needs to File

Almost every locally incorporated company must file an AR — including private limited companies, public companies, companies limited by guarantee, and foreign company branches. This applies regardless of whether your company is actively trading, dormant, or has recorded zero revenue for the year. The filing requirement stands unless the entity has been formally struck off.

A few exceptions:

  • Sole proprietorships and general partnerships don't file annual returns with ACRA at all.
  • Limited Liability Partnerships (LLPs) file an Annual Declaration instead of an AR.

Before You File: Two Steps First

Before you can submit your AR, you need to complete two preparatory steps:

  1. Prepare your financial statements — usually in accordance with Singapore Financial Reporting Standards (SFRS), covering the balance sheet, profit and loss statement, cash flow statement, and notes. Most companies must submit these in XBRL format, though solvent exempt private companies are generally exempt from this requirement.
  2. Hold your Annual General Meeting (AGM), if required — some companies qualify for exemptions here, but the AR filing itself is still mandatory.

Key Deadlines in 2026

Your filing deadline depends on your company type and financial year end (FYE):

Example: If your financial year ends on 31 December 2025, a private limited company's AR is due by 31 July 2026, while a public company would need to file by 31 May 2026.

Once your FYE passes the filing deadline, you generally can't change it, so it pays to plan ahead rather than scramble at the last minute.

Penalties for Late or Missed Filing

ACRA doesn't treat late filing lightly. Consequences can include:

  • A late filing penalty of up to S$600, applied automatically through Bizfile (for example, a S$300 penalty for filing just a few weeks past deadline)
  • Enforcement action, including composition fines
  • Prosecution of the company and its directors in serious or repeated cases
  • Striking off the company if annual returns go unfiled for several consecutive years

If you know you'll miss the deadline, you can apply for a 60-day extension through Bizfile for a S$200 fee — but this needs to be requested before the deadline, not after.

Who's Responsible?

The responsibility for accurate and timely filing sits with the company directors and company secretary. Even if you outsource bookkeeping or accounting, the legal obligation to file ultimately rests with your company's officers.

Staying Ahead of Compliance

The best way to avoid penalties is to build ACRA filing into your annual compliance calendar the same way you would tax deadlines. Track your FYE, prepare financial statements early, and don't wait until the deadline week to start pulling together shareholder and director details.

Remember too that ACRA filing and IRAS corporate tax filing are two separate obligations, completing one does not exempt you from the other. Both need to be tracked and filed on time.
